Capital increase of 15 million €

The Management Board of Lloyd Fonds has passed a fundamental resolution to[ds_preview] raise the Company’s capital by up to 15 million € by issuing up to 15 million new shares. As a result, Lloyd Fonds’ share capital will increase by up to 118 %. In connection with the equity issue, the US investment company AMA Capital Partners LLC (AMA) via ACP Fund V LLC (ACP) is seeking a share of up to 49.9 % in Lloyd Fonds AG. Lloyd Fonds and AMA have already signed a contract to this effect, under the terms of which AMA agrees to underwrite the equity issue provided that it gains a share of at least 30 % and a maximum of 49.9 % in Lloyd Fonds AG following the completion of the issue.

Existing shareholders will have full preemptive subscription rights to the issue. Parts of the proceeds are to be used to settle the liability release agreement signed with the banks in April 2010 successfully and conclusively. Lloyd Fonds is currently in negotiations with the banking syndicate to determine the final amount of the reduced liability release compensation.
